Sponsorship Terms and Conditions for Sponsors on TwentyPeacefulMinutes.com

These terms and conditions (the “Agreement”) apply to any sponsor purchasing a sponsorship package or related advertising (the “Sponsor”) on TwentyPeacefulMinutes.com (the “Site”).

1. The Sponsor agrees to enter into a contract subject to these terms and conditions with Creatuity Corp (the “Company”) in exchange for advertising on the Site.

2. Sponsor agrees to pay the total monthly rate shown on the sponsorship package form they have signed in exchange for the number of monthly ad views/impressions shown on said form.

3. For the purposes of this agreement, a Sponsorship Month shall begin on the date the agreement between the Sponsor and the Company is effective and shall consist of 30 consecutive days.

4. In the event the Sponsor does not receive the guaranteed minimum impressions in a given Sponsorship Month, the Company shall, at the Sponsor’s option, either credit the Sponsor’s next invoice for the value of the undelivered impressions or issue a refund via check to the Sponsor for the undelivered impressions. The value of undelivered impressions will be calculated by taking the monthly rate for the sponsorship package the Sponsor has selected and dividing said rate by guaranteed minimum impressions promised to the Sponsor.

5. Sponsor agrees to accept sole responsibility and liability for the content of any advertisment the Sponsor places on the Site. Sponsor also agrees to accept sole responsibility for the content of any webpage the Sponsor requests the advertisement link to.

6. Sponsor warrants that any advertisement the Sponsor places on the Site is legal and acceptable under the laws of the United States of America, as well as any laws enacted by the State of Texas or Kaufman County, Texas.

7. Sponsor understands that, barring an agreement between the Sponsor and the Company to lock-in or prepay a rate, the monthly rate for each sponsorship package may change from Sponsorship Month to Sponsorship Month. Company agrees to notify Sponsor of any changes to the rate at least 15 days prior to the effective date of the change.

8. If Sponsor selects an agreement to lock-in the rate, Sponsor agrees to pay in advance for the first Sponsorship Month and within 15 days of the invoice date for subsequent Sponsorship Months. Payments more than 15 days past due will result in the suspension of the Sponsor’s advertisements on the Site. Sponsor’s early termination of a lock-in agreement between the Sponsor and the Company will result in an early termination penalty equal to one month’s total rate.

9. There are a limited number of sponsorship opportunities at each level (i.e., silver, gold, platinum) that will be sold on a first-come, first-served basis each month. Current Sponsors will be given the opportunity to renew their sponsorship of the Site before their sponsorship package is sold to another potential sponsor, however, if a Sponsor fails to renew their sponsorship package, it may be sold to another potential sponsor after a period of 5 days have elapsed from the end of the Sponsor’s Sponsorship Month.

10. Barring an agreement to prepay, lock-in a rate or sponsor the Site for a specific number of months or other term, the Company will invoice the Sponsor 15 days prior to the end of the Sponsorship Month at the then current rate for the Sponsor’s sponsorship package and options. Sponsor’s payment of said invoice shall extend the Sponsor’s advertisements on the Site by an additional Sponsorship Month under the terms and rates currently in effect. If Sponsor wishes to discontinue sponsorship of the Site at the end of the current Sponsorship Month, Sponsor is under no obligation to pay such invoice, again, barring an agreement to prepay, lock-in a rate or sponsor the Site for a specific number of months or other term.

11. This Agreement shall be governed by the laws of the State of Texas and any dispute arising under this Agreement shall be settled by the courts located in Kaufman County, Texas, or the court with the appropriate jurisdiction over Kaufman County, Texas.

12. If any provision or provisions of this Agreement shall be held to be invalid, illegal, unenforceable or in conflict with the law of any jurisdiction, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

13. The Company reserves the right to update, amend or alter this Agreement. Such amendments shall be made by updating the copy of this Agreement posted at http://www.twentypeacefulminutes.com/policies/sponsorship-terms/ and notifying all current Sponsors. If a Sponsor does not accept the modification of the Agreement, the Sponsor will be allowed to continue under the previous version of the Agreement until the end of the Sponsor’s current Sponsorship Month, at which time the Sponsor’s sponsorship of the Site shall be terminated.
